Strats.gg Terms of Service

These Terms of Service ("Terms") govern your access to and use of Strats.gg and its related websites, desktop applications, software, features, content, and services (collectively, the "Service"), operated by Strats Inc. ("Strats," "we," "us," or "our").

By accessing or using the Service, creating an account, or purchasing a subscription, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You may use the Service only if you are legally permitted to do so in your jurisdiction and have the legal capacity to enter into these Terms, or have obtained any consent required from a parent or legal guardian.

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.

2. Accounts

Certain features of the Service require an account. You agree to provide accurate, current, and complete information when creating or maintaining your account and to keep that information updated.

You may maintain more than one account where permitted, but you may not create, maintain, or use accounts for the purpose of circumventing restrictions, avoiding a suspension or termination, manipulating rankings or leaderboards, abusing features, or otherwise violating these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You must promptly notify us if you believe your account has been accessed or used without authorization.

You may not sell, transfer, rent, sublicense, or otherwise provide access to your account to another person.

You may not impersonate another person or entity, use false information to create an account, or misrepresent your affiliation with any person or entity.

You may delete your account using the account deletion functionality made available by Strats, subject to any applicable retention requirements described in our Privacy Policy.

3. Acceptable Use

You agree to use the Service lawfully and in accordance with these Terms.

You may not:

Use bots, scripts, crawlers, spiders, automated software, or other automated methods to access or interact with the Service, except where expressly authorized by Strats;
Scrape, crawl, harvest, extract, copy, collect, index, or systematically gather information, content, player data, statistics, or other materials from the Service, whether manually or automatically;
Use Service data to create, populate, maintain, or operate a competing database, website, application, product, or service;
Access or use undocumented, private, or unauthorized APIs, endpoints, interfaces, or technical systems;
Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive the source code or underlying structure of the Service, except where expressly permitted by applicable law;
Circumvent, disable, bypass, or interfere with security measures, authentication systems, access controls, technical restrictions, subscription requirements, or other protective measures;
Interfere with, disrupt, damage, overburden, or impair the Service or its infrastructure;
Introduce malware, viruses, malicious code, or other harmful software;
Engage in fraud, abuse, deception, or other harmful or unlawful activity;
Impersonate any person or entity or falsely represent an affiliation with Strats or another party;
Manipulate statistics, rankings, leaderboards, game data, or other Service functionality through unauthorized means;
Obtain or attempt to obtain Premium or other paid features without paying the applicable fees;
Circumvent a suspension, ban, restriction, or other enforcement action;
Harass, threaten, stalk, or abuse other users;
Upload, transmit, or publish content that is unlawful, defamatory, fraudulent, threatening, harassing, infringing, or otherwise violates the rights of another person;
Upload or distribute malware, malicious code, or content designed to interfere with another person's device or account;
Use the Service to send spam or unauthorized advertising or solicitation;
Resell, sublicense, rent, lease, or commercially redistribute access to the Service or any portion of the Service without Strats' express authorization; or
Otherwise use the Service in a manner that could damage, impair, overburden, or negatively affect Strats, the Service, its infrastructure, or other users.

We may investigate suspected violations and may remove content, restrict functionality, suspend accounts, terminate accounts, or take other appropriate action.

4. Privacy Policy

Your use of the Service is also subject to the Strats Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy explains how Strats collects, uses, shares, and otherwise handles personal information in connection with the Service.

5. Third-Party Games, Platforms, and Services

The Service may interact with, depend on, or integrate with third-party games, game publishers, platforms, APIs, authentication systems, websites, software, or other services.

Your use of those third-party services may be subject to their separate terms, policies, and requirements. You are responsible for complying with those requirements.

Strats is not affiliated with, endorsed by, sponsored by, or officially associated with any third-party game, publisher, platform, or service unless expressly stated otherwise.

Third-party providers may change, restrict, suspend, revoke, or discontinue access to their services, APIs, data, authentication systems, or other functionality. As a result, features of the Service may change, become unavailable, or be discontinued without notice.

Strats is not responsible for the availability, accuracy, reliability, security, or functionality of third-party services.

6. Third-Party Websites, Links, and Services

The Service may contain links to, integrations with, advertisements for, or other references to third-party websites, products, services, or applications.

These third-party services are provided by parties outside Strats' control. Strats does not endorse or guarantee their content, products, services, accuracy, availability, security, or privacy practices unless expressly stated otherwise.

Your interactions and transactions with third parties are solely between you and the applicable third party. Strats is not responsible for losses, damages, or disputes arising from your use of third-party services.

You access third-party websites and services at your own risk and should review their applicable terms and privacy policies.

7. User Content

The Service may allow you to upload, submit, publish, or otherwise provide content, including videos, images, guides, tutorials, comments, crosshairs, profile information, text, and other materials ("User Content").

You retain ownership of your User Content, subject to the rights granted to Strats under these Terms.

You are solely responsible for your User Content and represent and warrant that:

You have the rights, permissions, and authority necessary to provide and use the User Content;
Your User Content does not violate these Terms or applicable law;
Your User Content does not infringe or misappropriate another person's intellectual property, privacy, publicity, or other rights; and
Your User Content does not contain malicious software or other harmful material.

By submitting User Content to the Service, you grant Strats a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, perform, transmit, and otherwise use your User Content in connection with operating, providing, developing, improving, and promoting the Service.

This license allows Strats to make your User Content available to other users where the functionality of the Service permits it.

You acknowledge that User Content may be publicly visible depending on where and how you submit it. You are responsible for deciding what information you make public.

Strats does not guarantee the accuracy, completeness, preservation, availability, or continued storage of User Content. We are not obligated to back up User Content, and you are responsible for maintaining your own copies of content you wish to retain.

We may review, remove, modify, restrict, disable, or refuse to publish User Content at our discretion, including where we believe it violates these Terms, applicable law, or the rights of another person, or where otherwise necessary to operate or protect the Service.

The license granted to Strats may continue for as long as reasonably necessary for content that has been incorporated into the Service or its materials, subject to applicable law.

8. Feedback and Suggestions

If you provide Strats with ideas, suggestions, feature requests, feedback, bug reports, or other recommendations regarding the Service ("Feedback"), you agree that Strats may use, reproduce, modify, adapt, publish, distribute, and otherwise use that Feedback without restriction, compensation, or obligation to you.

You grant Strats a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use Feedback for any lawful business purpose, including developing, improving, and promoting the Service.

You represent that you have the right to provide the Feedback and that it does not contain confidential information belonging to another party.

9. Strats Intellectual Property

The Service and its materials, including software, source code, design, user interfaces, graphics, logos, trademarks, branding, databases, features, text, original content, and other materials provided by Strats are owned by Strats or its licensors and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, you receive no ownership or other rights in the Service or Strats' intellectual property.

You may not copy, reproduce, modify, adapt, distribute, sell, license, publish, commercially exploit, create derivative works from, or otherwise use Strats' intellectual property without our prior written permission, except as permitted by applicable law.

Third-party names, trademarks, logos, game assets, and other materials remain the property of their respective owners. Their inclusion in the Service does not imply affiliation, sponsorship, or endorsement unless expressly stated.

10. Premium and Paid Services

Strats may offer paid subscriptions or other Premium features ("Premium").

Premium may provide additional features, functionality, content, customization, benefits, or other advantages. The specific features included in Premium may change over time.

Premium subscriptions may be offered on a monthly, six-month, annual, or other basis. The applicable price, billing period, and renewal terms will be presented at the time of purchase.

Unless otherwise stated at the time of purchase, subscriptions automatically renew for the applicable subscription period until cancelled.

By purchasing Premium, you authorize the applicable payment processor to charge the payment method associated with your purchase.

Payments are processed by third-party payment providers. Strats does not directly store or process your complete payment card information where the payment provider handles that information.

You may cancel your subscription at any time through the available subscription management functionality. Cancellation generally prevents future renewals, while Premium access continues through the end of the period you have already paid for.

Except where required by applicable law, payments are non-refundable once a subscription or other paid service has been purchased.

If your account is terminated because you violated these Terms, you are not entitled to a refund of unused Premium time, except where required by law.

Strats may change Premium pricing, billing terms, features, benefits, or subscription offerings from time to time. We may add, modify, replace, restrict, or discontinue Premium features. Where required, we will provide notice of material changes before they take effect.

Strats may discontinue Premium or a particular Premium offering at any time. If the entire Service or Premium is discontinued, any resulting refund will be provided only where required by applicable law or expressly offered by Strats.

Premium access is associated with your Strats account and may not be sold, transferred, or shared unless expressly permitted by Strats.

11. Advertising

The free version of the Service may contain advertisements throughout the website, desktop application, or other portions of the Service.

You may not use ad-blocking technology or other methods specifically intended to circumvent, remove, conceal, disable, or interfere with advertisements displayed through the Service.

Where we reasonably determine that advertising is being intentionally blocked or circumvented, we may restrict functionality or access to the Service.

Premium may provide an ad-free experience where expressly included in the applicable Premium offering.

12. Changes to the Service

Strats may add, modify, suspend, restrict, or remove features, content, integrations, functionality, or other portions of the Service at any time.

We may impose technical or usage limits, perform maintenance, make updates, temporarily suspend portions of the Service, or discontinue features or integrations.

We do not guarantee that any particular feature, game integration, statistic, tool, content, or functionality will remain available or unchanged.

Strats may discontinue the Service, in whole or in part, at any time.

13. Game Statistics and Data

The Service may provide game statistics, player profiles, rankings, ratings, match history, gameplay information, recommendations, and other game-related data.

This information is provided for informational and entertainment purposes. It may be delayed, incomplete, inaccurate, unavailable, or subject to change.

Strats does not guarantee that game statistics, rankings, player information, match history, or other game-related data are accurate, complete, current, reliable, or continuously available.

The availability and accuracy of game-related information may depend on third-party games, publishers, APIs, platforms, and other services. Strats is not responsible for errors, delays, interruptions, limitations, or changes resulting from those third parties.

14. Public Profiles and Information

Certain usernames, profiles, statistics, rankings, ratings, match history, gameplay information, and User Content may be publicly displayed through the Service.

Information that you make publicly available may be viewed, accessed, copied, stored, or otherwise used by other people.

You are responsible for the information and content that you choose to make publicly available.

15. Service Availability and Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

STRATS DOES NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, OR FREE OF BUGS, ERRORS, HARMFUL COMPONENTS, OR OTHER DEFECTS.

STRATS DOES NOT GUARANTEE THAT ANY PARTICULAR RESULT WILL BE ACHIEVED THROUGH USE OF THE SERVICE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, ACCOUNT ACCESS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES OR LOSSES ARISING FROM DOWNTIME, BUGS, ERRORS, INCORRECT OR MISSING STATISTICS, LOSS OF DATA, LOSS OF ACCOUNT ACCESS, THIRD-PARTY SERVICES, GAME OR API CHANGES, SERVICE INTERRUPTIONS, USER CONTENT, OR UNAUTHORIZED ACCESS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF STRATS AND THE PARTIES DESCRIBED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE TOTAL AMOUNT YOU PAID DIRECTLY TO STRATS FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

2. CAD $100.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded under applicable law.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Strats and its directors, officers, employees, contractors, affiliates, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:

Your use or misuse of the Service;
Your violation of these Terms;
Your violation of applicable law;
Your User Content;
Your infringement or violation of another person's rights; or
Your unauthorized use of the Service or another person's account.

Strats may assume exclusive control and defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

18. Suspension and Termination

You may stop using the Service or delete your account at any time.

Strats may suspend, restrict, or terminate your access to the Service or your account at any time if we reasonably believe that:

You have violated these Terms;
Your conduct may violate applicable law or another person's rights;
Your use presents a security, fraud, abuse, or other risk;
You are attempting to circumvent a restriction, suspension, or ban;
Your use may harm the Service, Strats, or other users; or
Suspension or termination is otherwise necessary to protect the Service, its users, or Strats' legitimate interests.

We may also suspend or terminate access where required by law or where we discontinue the applicable Service or feature.

Upon termination, your right to access and use the Service will end. Strats may delete or disable access to your account and associated User Content, subject to the Privacy Policy and applicable legal or operational retention requirements.

Except where required by law, Strats will not be liable to you for suspension, termination, deletion of an account, deletion of User Content, or discontinuation of the Service.

Termination does not affect provisions that by their nature should survive termination, including intellectual property rights, User Content licenses, disclaimers, limitations of liability, indemnification, dispute provisions, and other provisions intended to survive.

19. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we may update the Effective Date and, where appropriate, provide additional notice through the Service or other reasonable means.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree with updated Terms, you must stop using the Service.

20. Governing Law and Disputes

These Terms and your use of the Service are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.

Subject to any rights you may have under applicable law, you agree that disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the courts located in Ontario, Canada.

Nothing in these Terms prevents you from exercising rights or pursuing remedies that cannot legally be waived or restricted under applicable law.

21. General

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Strats regarding the Service and supersede prior agreements relating to the same subject matter.

The failure of Strats to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without Strats' prior written consent. Strats may assign or transfer these Terms and its rights and obligations in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.

Nothing in these Terms creates a partnership, joint venture, employment, agency, or other relationship between you and Strats.

Strats will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, labour disputes, utility or telecommunications failures, government actions, cybersecurity incidents, infrastructure failures, or other force majeure events.
